Terms of use

These terms govern access to Fondation Flow, account responsibilities, AI-assisted features, location data, communications, and electronic documents.

01 — Acceptance and scope

A service intended for construction businesses.

These terms form an agreement between 9572-9026 QUÉBEC INC., doing business as Fondation Flow (“Fondation Flow”), and the business or professional using the service (“Customer”). A person creating an account, accepting an order, or using the service for the Customer confirms having authority to bind it. The service is offered for commercial and professional use.

A commercial proposal, order form, data-processing schedule, or signed agreement may supplement these terms. The more specific signed document prevails for the matter it addresses.

02 — Accounts, roles, and security

Each account must belong to the right person.

  • The Customer provides accurate information, maintains its account, and assigns the minimum role required.
  • Credentials may not be shared. Each user is responsible for actions under the account, except unauthorized use reported promptly.
  • The account owner manages invitations, employee departures, supervisors, administrators, and sensitive feature settings.
  • The Customer promptly reports a lost device, suspicious access, or any change requiring access removal.
  • We may require stronger authentication, end a session, or restrict access to protect the service and users.

03 — Service and professional responsibilities

A management platform, not a substitute for regulated professionals.

Depending on the plan and configuration, Fondation Flow may provide customer relationship management, lead follow-up, estimates, electronic signatures, scheduling, projects, assignments, GPS-aware time clocks, timesheets, receipts, costs, reports, communications, lead handoff, AI assistance, and Growth Centre services.

Fondation Flow is not a legal, accounting, tax, payroll, human resources, engineering, or occupational health and safety firm. Customers remain responsible for licences, permits, insurance, taxes, payroll, remittances, employment obligations, construction standards, CCQ and CNESST requirements, and professional review.

Connected accounting services are optional. By connecting QuickBooks Online, the Customer confirms that it is authorized to administer the selected QuickBooks company and instructs Fondation Flow to use Intuit’s authorization and accounting services for each user-reviewed transfer. The initial integration sends selected customers, finalized invoices and recorded payments one way from Fondation Flow to QuickBooks. QuickBooks remains an independent accounting service and the Customer remains responsible for reviewing customer matches, items, taxes, totals, payments, duplicates and the resulting accounting records. Disconnecting through Fondation Flow revokes future access and removes the active connection data from Fondation Flow. A disconnect initiated in QuickBooks invalidates Intuit access; the Customer must then sign in to Fondation Flow and use Disconnect from QuickBooks to finish removing locally stored connection data. Neither path deletes Customer Data in Fondation Flow or records already created in QuickBooks. Intuit’s separate terms and privacy statement continue to apply.

04 — Customer data

The Customer retains its records and must have the right to provide them.

The Customer retains ownership of content and information entered into the service (“Customer Data”). It grants Fondation Flow a limited right to host, reproduce, transmit, structure, and otherwise process Customer Data only to provide, secure, support, and improve the agreed services or comply with law.

  • Have a valid basis and required consent for customer, prospect, employee, subcontractor, and signer information.
  • Provide required notices for location, AI, profiling, workplace tools, and commercial communications.
  • Limit collection to what is necessary and avoid unnecessary sensitive information in free-form notes.
  • Maintain information used to make decisions and respond to access, correction, withdrawal, and deletion requests it controls.

05 — Communications and AI assistance

Automation prepares work; authorized people remain accountable.

The Customer is responsible for message content, recipient, timing, sender identification, legal basis, and unsubscribe handling. It must honour STOP requests, consent withdrawals, and communication preferences. A Google review request requires an explicit decision by an authorized user.

AI output may be incomplete or inaccurate. The Customer may expressly enable bounded follow-up replies and moves to one of three owner-selected outcomes: Lost when a lead chose another contractor, or an open callback or estimate-requested stage. No flow may automatically mark a lead Won. Ambiguous or sensitive replies require human attention. A person must review AI output before it determines price, scope, an appointment, an estimate, a contract, safety guidance, employment, or another important business decision. The Customer may not use the service for prohibited discrimination, deceptive impersonation, or a solely automated decision with legal or similarly significant effects where the law requires human involvement.

06 — Employees, time, and location

The employer controls workplace use and remains responsible for it.

The Customer determines whether employee profiles, schedules, time clocks, and jobsite zones are appropriate and lawful. It must give employees clear notice, configure access by need, provide a reasonable process for corrections or exceptions, and comply with employment, privacy, collective agreement, and labour requirements.

Normal location validation records a point-in-time position when a user clocks in or out. An employee may separately enable forgotten-punch protection on a supported Apple or Android device. The protection may arm an on-device work-zone region monitor up to 30 minutes before a scheduled job, but it does not submit scheduled-start GPS evidence before the start. From 2 through 30 minutes after the start, it may request and submit limited current, point-in-time fixes, normally at the 4-minute checkpoint or a work-zone state change. The server retains only short-lived derived on-site, off-site, or unverified evidence, accuracy, distance, and time for at most one missed clock-in reminder beginning five minutes after start; raw coordinates are not retained, unreliable or absent location uses neutral wording, and the resulting reminder may remain in notification history. These bounded scheduled-start checks are not continuous tracking and no route is uploaded or retained. During an eligible open shift, the protection can display a local reminder when notifications are allowed after repeated accurate readings more than 100 metres beyond the zone, and may request an automatic clock-out after the employee remains more than 200 metres beyond it for at least 30 seconds. Limited final evidence remains with an automatic time-clock action.

GPS results are contextual indicators and may be affected by buildings, weather, devices, and networks. An automatic clock-out does not itself determine payroll or discipline. The Customer must provide a reasonable alternate clock process and a human correction or dispute process before relying on a location result for a consequential decision.

07 — Estimates, signatures, and records

Electronic tools support the transaction; the Customer defines the contract.

The Customer is responsible for scope, price, taxes, terms, licence information, mandatory notices, cancellation rights, and document retention. Fondation Flow may retain contextual evidence of viewing, acceptance, consent, and signing, but does not guarantee that every document is sufficient for every regulated transaction.

08 — Lead handoff and Growth Centre

Additional services use the terms accepted for that engagement.

A lead may be handed to Fondation Flow Closing only when the feature is enabled and an authorized user accepts the displayed terms, including any success-fee arrangement. Each accepted handoff may preserve the applicable rate and terms version. The Customer must have authority to share the lead and must not represent that a result is guaranteed.

Growth Centre projects, including websites, advertising, creative work, visualization, and custom automation, may require a separate proposal describing scope, dependencies, approvals, intellectual property, timelines, and fees.

09 — Acceptable use

Use must remain lawful, authorized, and proportionate.

  • Do not access another company’s information or attempt to bypass permissions or security controls.
  • Do not send spam, unlawful messages, malware, deceptive content, or communications without the required legal basis.
  • Do not probe, overload, scrape, reverse engineer, resell, or interfere with the service except where a non-waivable law expressly permits it.
  • Do not upload unlawful content or information the Customer is not authorized to process.
  • Do not use location, AI, employee, or customer information for an incompatible or undisclosed purpose.

10 — Fees and changes

Commercial details appear in the applicable order.

Subscription fees, usage limits, billing frequency, renewal, implementation, and additional services are described in the order or proposal. Amounts are due as stated and are non-refundable except where the agreement or law provides otherwise. We may change future pricing with the notice required by the applicable agreement.

11 — Intellectual property and confidentiality

Each party keeps what it brings.

Fondation Flow and its licensors retain the service, software, design, documentation, methods, and improvements. The Customer receives a limited, non-exclusive, non-transferable right to use the service during the agreement. Feedback may be used without identifying confidential Customer Data.

Each party must protect non-public business, technical, commercial, and personal information received from the other and use it only for the agreement, subject to lawful disclosure obligations.

12 — Availability, suspension, and termination

Service continuity depends on responsible use and external conditions.

We aim to provide a reliable service but do not promise uninterrupted operation. Maintenance, communications networks, mobile platforms, connected services, emergencies, and events outside reasonable control may affect availability. We may suspend access to address security, unlawful use, non-payment, or material breach.

On termination, the Customer must stop using the service and may request available exports within the agreed period. Retention, deletion, legal hold, backups, confidentiality, payment, ownership, and liability terms survive where their nature requires it.

13 — Warranties, liability, and indemnity

Risk is allocated within the limits permitted by law.

The service is provided according to the written agreement and applicable law. Except for warranties that cannot be excluded, Fondation Flow does not guarantee a particular sales result, lead outcome, profit, legal compliance, payroll result, or error-free AI output.

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, exemplary, or consequential losses, loss of profit, or loss of business opportunity. Any aggregate liability cap and exclusions in an order or signed agreement apply. The Customer is responsible for claims arising from unlawful Customer Data, communications, employment practices, jobsite decisions, or use contrary to these terms.

14 — Governing law and updates

A Quebec commercial agreement.

Unless a signed agreement states otherwise, these terms are governed by the laws of Quebec and the applicable federal laws of Canada, and disputes are submitted to the courts of the judicial district designated in the applicable order or, otherwise, Montreal, Quebec, subject to mandatory law.

We may update these terms for legal, security, or service changes. Material changes receive appropriate notice. Continued use after the effective date constitutes acceptance where permitted; otherwise, the Customer may exercise the termination right provided by its agreement.
